Terms and Conditions
These Cinesis product terms and conditions (this “Agreement”) govern Your access to and use of the Products (defined below) and constitute an agreement between Skywaze Inc., doing business as Cinesis (“Cinesis,” “Skywaze”, “We,” “Us,” or “Our”) and You or the entity You represent (“You” or “Your”). Collectively, You and Cinesis are the “Parties.”
1. Authority to Enter into the Agreement
You represent that You are lawfully able to enter into contracts (e.g., You are not a minor). If entering for an entity, You represent that You have legal authority to bind that entity.
2. Use of the Products
Access and use of Products must comply with this Agreement and any Product/Delivery Schedule.
You must comply with Our Acceptable Use Policy, as updated from time to time.
Each account must be linked to a valid email; only one account per email is allowed unless otherwise permitted.
Automated collection of Product Data is prohibited without written approval.
By subscribing, You authorize inclusion of Your Contact Data in Our Directory, visible to active subscribers.
3. Orders, Fees, and Payment
Brokers may currently post loads for free.
Cinesis may introduce fees in the future; advance notice will be provided.
4. Product Changes
We may update, modify, or discontinue Products.
Material changes will generally be communicated at least 3 days in advance, unless impractical due to security, legal, or technical reasons.
5. Security & Privacy
Use of Products is governed by Our Privacy Policy, as updated from time to time.
6. Term & Termination
Term begins on the Effective Date and continues until all Order Forms expire or are not renewed.
Termination may occur immediately for breaches, insolvency, or failure to cure material breaches.
Termination ends Your access; accrued payment obligations remain.
7. Shared Data
You grant Us a royalty-free, perpetual license to use Shared Data.
You represent You have rights to Shared Data and obtained required consents.
Reverse engineering, misuse, or use to avoid fees is prohibited.
Suggestions provided to Us become Our property.
8. Cinesis Data & Non-Compete
Full payment grants a non-exclusive, non-transferable license to Products and Product Data.
You may not use Product Data to compete with Cinesis or aggregate broker loads elsewhere.
You must cooperate with audits to ensure compliance.
Breaches may cause irreparable harm; injunctive relief is available.
9. Warranty
Our Warranty: Products do not infringe IP, comply with law, and efforts are made to prevent malware.
Your Warranty: You will use Products lawfully, Shared Data is accurate, and will not introduce malicious code.
Products are provided “as is” and no other warranties are made.
10. Limitation of Liability
Our liability is limited to the fees paid for the applicable Product. We are not liable for indirect, incidental, or consequential damages.
11. Indemnification
By Us: We defend claims that Products infringe IP.
By You: You defend and indemnify Us for misuse of Products, breach of Agreement, or other claims.
Defense obligations require prompt notice, cooperation, and control over settlement.
12. Confidentiality
You may use Our Confidential Information only to access Products. Obligations survive for five (5) years post-termination.
13. Miscellaneous
Assignment: You may not assign without consent; We may assign freely.
Entire Agreement: This Agreement, including Policies, is the complete agreement.
Force Majeure: Neither Party is liable for delays beyond reasonable control.
Governing Law: Delaware law applies, excluding UN Sales Convention.
Disputes: Arbitration in California applies; proceedings are individual only.
Trade Compliance: You will comply with all applicable export, sanctions, and trade laws.
Independent Parties: No partnership or agency relationship is created.
Notice: Notices via email or posted on the Site; notices to Us via mail or email as specified in Policies.
No Waivers / Severability / Survival: Standard provisions apply.
14. Definitions
Products: Site, software, documentation, and associated services.
Shared Data: Data You or Authorized Users upload, excluding personal data.
Authorized Users: Your employees, agents, or contractors with access credentials.
Contact Data: Company name, address, email, phone, DOT information.
Losses: Claims, damages, costs, and expenses.
Order Form: Document or webpage listing Products, pricing, and subscription details.
Policies: Acceptable Use Policy and Privacy Policy, as updated.
Acceptable Use Policy
Introduction
This Policy governs Your use of the Products, the App, the APIs, and the Site (collectively, the “Platform”). By using the Platform, You agree to the latest version of this Policy. If You do not agree, You must not access or use the Platform.
Prohibited Activities
You may not use, or facilitate others to use, the Platform to:
Violate laws or export controls
Harm minors
Spam or post bad-faith content
Post repeatedly to game the Platform
Impersonate Cinesis, employees, or other users
Provide false or incomplete information
Double-broker freight without written permission
Withhold payment from physical asset carriers
Operate without a U.S. presence (PO Boxes and virtual offices excluded)
Share login credentials (Authorized Users limited to two devices; one active session per device)
Content Standards
You agree not to send, upload, or reuse material that:
Is defamatory, obscene, offensive, harassing, violent, or hateful
Promotes pornography, discrimination, or illegal activity
Infringes intellectual property rights
Misleads or impersonates others
Monitoring and Enforcement
We may monitor Platform use for compliance and take necessary action for violations, including suspension, termination, or legal action. Alternative corporate entities to evade compliance are prohibited. We may cooperate with law enforcement and comply with court orders or administrative proceedings.
Reporting Violations
To report violations, email admin@cinesis.com. All reports are investigated.
Privacy Policy
Introduction: Your privacy is important to us. This Privacy Policy explains how Cinesis collects, uses, shares, and otherwise processes information relating to individuals (“Personal Data”) and your rights and choices.
Personal Data Collection
We collect three types of Personal Data:
Information You Provide: Name, email, company info, or other details you submit.
Information Collected Automatically: IP address, browser type, geolocation, device info, cookies, and usage analytics.
Other Sources: Data combined from third parties or publicly available sources.

Effective Date: This Agreement takes effect when You click an “I Accept” button or check box presented with these terms, or if earlier, when You use any of the Products.
